Terms of Service

You must be at least 18 years old and have the legal capacity to enter into this agreement. You may not use the Service if you are barred from doing so under U.S. or other applicable law, including being on a sanctions list. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

The Service is a platform that lets you configure, deploy, and manage AI agents that interact with users through channels you connect (such as web chat, email, Telegram, and Slack). The Service is provided on a subscription basis and may evolve over time as we add, change, or remove features.

You are responsible for the accuracy of the information you provide, the security of your credentials, and all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

You are solely responsible for the content your agents process, the conversations they have with your end-users, and your compliance with applicable law. This includes, without limitation, privacy laws (such as GDPR and CCPA), telecommunications and messaging laws (such as TCPA and CAN-SPAM for SMS and email), AI disclosure obligations, and any industry-specific regulation that applies to you.

You represent and warrant that:

• You have the rights and consents required to submit, process, and store the content and data you provide to the Service (including any data about your end-users).
• You will obtain any disclosures and consents your jurisdiction requires for AI-driven communications.
• You will configure, monitor, and review your agents, and you accept responsibility for what they say and do under your direction.

You will not use the Service to:

• Violate any law or regulation, or infringe any third party's rights;
• Generate, distribute, or facilitate illegal, deceptive, harassing, defamatory, or harmful content, including content that sexually exploits minors;
• Generate automated abuse, spam, or messages without the recipient's required consent;
• Reverse engineer the Service, scrape it, circumvent rate limits or access controls, or use the outputs to train a competing model or service;
• Impersonate any person or organization or misrepresent your affiliation;
• Violate the usage policies of our underlying model providers or other subprocessors.

The Service uses large language models and other AI systems. Outputs may be inaccurate, incomplete, biased, or otherwise inappropriate. You are responsible for reviewing outputs before relying on them, especially for high-stakes use cases. The Service is not designed for, and should not be used as a substitute for, professional medical, legal, financial, or similar advice without appropriate human review and additional safeguards.

Because you configure your agents, you — not Agentic Deploy — are responsible for the specific things your agents say and do. We do not pre-screen agent output and do not guarantee any particular level of accuracy.

Paid plans are billed on a subscription basis through our payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method until you cancel. Prices, plans, and included usage may change; we will give reasonable notice of material changes.

All fees are non-refundable except where required by law. Cancellation stops future renewals; it does not entitle you to a refund of fees already paid for the current billing period.

You may cancel your subscription at any time from within the Service. We may suspend or terminate your access if you breach these Terms, fail to pay, or pose a security or operational risk to the Service or other customers. We may also discontinue features or the Service as a whole with reasonable notice.

Our Service. We own the Service, including all software, models we develop, content, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service.

Your Content. You retain ownership of the content you provide. You grant us a limited, worldwide license to host, process, and transmit your content solely to provide and secure the Service. We do not use your content (including prompts, agent conversations, and uploaded files) to train AI models. See our Privacy Policy for more.

Feedback. If you send us suggestions, ideas, or other feedback, we may use it freely without obligation to you.

The Service integrates with third-party services (model providers, payment processors, messaging platforms, hosting providers, and others). Those services operate under their own terms and privacy policies. We are not responsible for their acts, omissions, availability, or pricing.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THE ACCURACY OR SUITABILITY OF AI OUTPUTS FOR ANY PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC DEPLOY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

You will defend, indemnify, and hold harmless Agentic Deploy and its affiliates from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content or your agents' outputs; (b) your violation of these Terms or applicable law; (c) your relationship with your end-users; or (d) your use of the Service in violation of any third party's rights.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Wyoming, and the parties consent to personal jurisdiction in those courts. Before filing a claim, the parties will attempt to resolve the dispute informally by contacting Hello@AgenticDeploy.Ai.

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last updated” date above and, where appropriate, notify you by email or in-product notice. Your continued use of the Service after the update means you accept the revised Terms.
